The judge didn't even really throw it out they just overturned the temporary injunction, but without that he couldn't prevent a takeover.

They basically told Billy he could have the company if it became insolvent. Then, despite the company totally becoming insolvent, Dixie managed to not give the company to Billy by giving it to Anthem instead.
