The board of directors is not required to vote on anything per the laws here in Oklahoma. Your articles of incorporation/bylaws can account for a general membership being able to vote, without being on the board. I sort of see what they are thinking (that there'd be a officers group and then a board of directors with powers the officers group doesn't have) but your bylaws can make that a non-issue. And do you mean the EIN (Employer ID Number)? The incorporation team we spoke to said that they considered it and decided that they are not going to give that out to anyone because it means whomever is using that EIN is being filed under the same taxes, it's like sharing a social security number. So it would require national to have every local using that EIN to submit all their financial paperwork to national, which is a nightmare on many levels. They were suggesting everyone incorporate and file for your own EIN, and then they would file for group exemption status for their organization meaning every subsidiary wouldn't have to apply for tax-exempt status individually, they'd just be approved as a subsidiary organization so it cuts down immensely on the paperwork. Otherwise you have to prove to the IRS you are eligible every year and probably have to hire an accountant.

I think that because we are the oldest active DSA chapter (boston btw), we were using the national EIN for some time. When the org was smaller it didn't really matter.

the plan was to incorporate as a 501c4, same as national, so maybe we were trying to skip a step? we wouldn't have needed to get the group exemption from national in this case.

That makes more sense, but the way it was explained to me, the incorporation they were encouraging was to do so as a 501c4, then apply for an EIN once you're a legal entity, and then instead of filing for tax-exempt status getting that group exemption to do so. Irregardless, it sounds like there's some weirdness going on from being a legacy local there. I just want to reiterate about the director thing: Having checked the MA laws about it you could simply have the directors be a mere formality. They are just the group who ratify the bylaws/articles of incorporation that empower other officers and the general assembly, and then continue along as you always have afterwards. So if that helps convince anyone who thinks it might be tiered membership, there it is.
